The Reasons for the Failure of Major Asset Restructuring in Ningxia Building Materials Company and Its Implications: A Case Study from the Perspective of Strategic Transformation

The report to the 20th National Congress of the Communist Party of China emphasized the need to continuously deepen reforms in state-owned enterprises, optimize the layout and structural adjustment of the state-owned economy, and enhance corporate core competitiveness through specialized integration and strategic restructuring. Taking Ningxia Building Materials Group Co., Ltd. as a case study, this research analyzes the motivations behind the restructuring, its implementation process, and the reasons for its failure. The findings indicate that Ningxia Building Materials initiated the restructuring primarily to upgrade its industrial structure, optimize resource allocation, address competition within the same industry, and align with the transformational needs of the cement sector. Meanwhile, China Construction Information sought to leverage its listing status to expand market reach and reduce dependence on individual clients. The restructuring failures stemmed from three main factors: significant uncertainty regarding accounts receivable recovery at the target company; ineffective resolution of competition issues; and substantial challenges in asset transfer that compromised valuation accuracy. To address these issues, recommendations include strengthening bad debt risk management, improving pre-restructuring due diligence and asset valuation, optimizing share swap designs, clarifying corporate strategic objectives, and enhancing managerial decision-making capabilities. These conclusions provide valuable insights for state-owned enterprises pursuing strategic restructuring and transformation initiatives.
