Research on the Implementation Effect of Alibaba's Dual-Class Share Structure

This paper takes Alibaba Group as a case study to analyze the implementation effects of its dual-class share structure, specifically its unique partnership system. Based on theoretical analysis and financial data from 2014 to 2018, the study finds that the dual-class structure promotes long-term corporate development, strengthens the founding team’s control, and optimizes internal governance. However, it also increases agency costs and potentially harms minority shareholder interests [9][10]. The paper concludes with suggestions such as improving information disclosure, strengthening internal supervision mechanisms, and introducing class-action lawsuits to protect minority shareholders and support sustainable corporate growth.
